In these Terms and Conditions, the following terms have the meanings specified:

• "Agreement" refers to these Terms and Conditions and any service engagement letter or contract between you and Citadel Nexus.
• "Client" or "You" refers to the individual or entity engaging our consulting services or using our website.
• "Company," "We," "Us," or "Our" refers to Citadel Nexus, a consulting firm operating in Taiwan.
• "Services" refers to the investment consulting services we provide, including Reconnaissance Briefing, Strategic Positioning Service, and Citadel Command Program.
• "Website" refers to our online platform accessible at the designated domain.
• "Content" refers to all information, text, graphics, materials, and other content available through our services or website.

2. Acceptance of Terms

By accessing our website, engaging our consulting services, or otherwise interacting with Citadel Nexus, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.

If you do not agree to these terms, you must not use our website or engage our services. Your continued use of our services constitutes acceptance of any updates or modifications to these terms.

Citadel Nexus provides professional investment consulting services focused on Taiwan market assessment and position establishment. Our services include:

• Reconnaissance Briefing: Initial investment assessment and evaluation
• Strategic Positioning Service: Guided support through investment establishment
• Citadel Command Program: Comprehensive oversight for substantial positions

Service availability, scope, and specific deliverables will be outlined in individual engagement letters or contracts. We reserve the right to modify service offerings at our discretion.

Our services are advisory in nature. We do not make investment decisions on your behalf, guarantee investment outcomes, or provide legal, accounting, or tax advice except where explicitly coordinated with appropriate licensed professionals.

4. Client Responsibilities

When engaging our services, you agree to:

• Provide accurate, complete, and timely information necessary for service delivery
• Respond to information requests and communications within reasonable timeframes
• Make your own independent investment decisions based on your circumstances
• Engage appropriate legal, accounting, and other professional advisors as needed
• Comply with all applicable laws and regulations in your jurisdiction
• Maintain confidentiality of sensitive information shared during engagement
• Honor payment obligations according to agreed terms

You acknowledge that our services depend on the accuracy and completeness of information you provide. We are not responsible for conclusions or recommendations based on inaccurate or incomplete information.

5. Prohibited Uses

You agree not to:

• Use our services for any unlawful purpose or in violation of applicable regulations
• Provide false, misleading, or fraudulent information
• Attempt to gain unauthorized access to our systems or networks
• Interfere with the proper functioning of our website or services
• Reproduce, distribute, or publicly display our proprietary content without authorization

6. Intellectual Property Rights

Information and materials you provide to us remain your property. By providing such materials, you grant us a license to use them solely for purposes of delivering our services to you.

7. Payment Terms

Service fees will be established in individual engagement letters or contracts based on the scope and complexity of services required. Standard pricing for our service tiers is:

• Reconnaissance Briefing: NT$11,500
• Strategic Positioning Service: NT$44,200
• Citadel Command Program: NT$63,000

All fees are stated in New Taiwan Dollars (NT$) and are exclusive of applicable taxes unless otherwise specified. Payment terms, including installment arrangements if applicable, will be outlined in your engagement agreement.

Accepted payment methods include bank transfer, credit card, and other methods as specified in engagement documentation. Late payments may be subject to interest charges as permitted by Taiwan law.

Refund eligibility depends on service stage and circumstances. Specific refund terms will be addressed in individual engagement agreements.

8. Confidentiality

We maintain strict confidentiality standards regarding client information and engagement details. Information shared during consulting engagements will be protected according to professional confidentiality obligations and our Privacy Policy.

Both parties agree not to disclose confidential information received during the engagement to third parties without prior written consent, except as required by law or necessary for service delivery (such as coordination with legal or regulatory specialists).

Confidentiality obligations continue beyond engagement completion and survive termination of our services.

9. Disclaimers

Our services are provided on an "as is" and "as available" basis. While we strive for accuracy and thoroughness in our assessments:

• We make no guarantees regarding specific investment outcomes or results
• Market conditions, regulations, and circumstances can change unexpectedly
• Our assessments reflect information available at the time of engagement
• You are solely responsible for investment decisions and their consequences

We are not financial advisors, legal counsel, or tax professionals unless explicitly stated. Our consulting services do not constitute professional advice in these domains. You should engage appropriate licensed professionals for such matters.

To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for particular purpose, and non-infringement.

10. Limitation of Liability

To the maximum extent permitted under Taiwan law, Citadel Nexus, its directors, employees, and affiliates shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from investment decisions made based on our assessments
• Third-party actions or omissions beyond our reasonable control

Our total liability for any claims arising from our services shall not exceed the fees paid by you for the specific service engagement giving rise to the claim.

These limitations apply regardless of the legal theory underlying the claim and whether we were advised of the possibility of such damages.

11. Indemnification

You agree to indemnify, defend, and hold harmless Citadel Nexus, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

• Your use of our services or website
• Your violation of these Terms and Conditions
• Your violation of any applicable laws or regulations
• Inaccurate or misleading information you provide
• Investment decisions you make

12. Termination

Either party may terminate a service engagement according to terms specified in the individual engagement agreement. Generally:

• You may terminate engagement with written notice subject to payment for services rendered
• We may terminate if you breach these terms or fail to meet payment obligations
• We may terminate if continuing the engagement would violate professional obligations

Upon termination, you remain obligated to pay for services performed through the termination date. We will provide work product completed as of termination in accordance with engagement terms.

Provisions regarding confidentiality, intellectual property, limitation of liability, and dispute resolution survive termination.

13. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of Taiwan, without regard to conflict of law principles.

Any disputes arising from or relating to these terms or our services shall be subject to the exclusive jurisdiction of the courts located in Taipei, Taiwan.

Before initiating formal legal proceedings, parties agree to attempt good faith resolution through direct discussion and, if necessary, mediation.

14. General Provisions

Entire Agreement

These Terms and Conditions, together with any engagement letters or contracts, constitute the entire agreement between you and Citadel Nexus regarding our services, superseding any prior agreements or understandings.

Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

Waiver

Our failure to enforce any right or provision of these terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by our authorized representative.

Assignment

You may not assign or transfer your rights or obligations under these terms without our prior written consent. We may assign our rights and obligations with notice to you.

Notice

15. Changes to Terms

We reserve the right to modify these Terms and Conditions at any time. Changes will be posted on our website with an updated "Last Updated" date.

Material changes will be communicated to active clients via email or through our engagement communications. Your continued use of our services after changes take effect constitutes acceptance of the modified terms.

If you do not agree to modified terms, you should discontinue use of our services and may terminate any active engagement according to applicable terms.
